1. Parties & Acceptance

Welcome to the cross-border e-commerce platform operated by HANDSTAND PANDA CO., LIMITED. (the "Platform").

These Terms of Service (the "Terms") are entered into between you (the "User") and HANDSTAND PANDA CO., LIMITED. ("we", "us", "our"). By registering an account, browsing, placing orders or using any services of the Platform, you acknowledge that you have read, understood and agreed to be bound by these Terms and all platform rules. If you do not agree, you must not use the Platform.

2. Account Registration & Security

2.1 You must provide true, accurate and complete registration information. You warrant that your registration details are valid and shall update promptly if information changes.

2.2 You are solely responsible for safeguarding your account ID and password. Any loss arising from password disclosure or account sharing shall be borne by you.

2.3 One person may register only one personal account. Bulk registration or registration using other people's identity is prohibited. We reserve the right to suspend or terminate fake or violating accounts.

3. Platform Services & Transaction Rules

3.1 The Platform is a cross-border e-commerce marketplace providing product display, order matching and supporting cross-border transaction services. We do not directly sell all goods; some products are supplied by merchant sellers.

3.2 When you submit an order, it constitutes an offer to purchase from the merchant. A sales contract is formed once the merchant confirms the order. Product price, international shipping fee and customs clearance fee shall be subject to the real-time display on the checkout page. Import duties and consumption taxes levied by destination countries shall be borne by buyers.

3.3 Product descriptions, images and specifications are provided by merchants. We only display information and do not warrant absolute accuracy of merchant content.

3.4 Shipment, logistics, return and after-sales services shall be performed by the corresponding merchant in accordance with after-sales rules shown on product pages. The Platform provides dispute mediation but shall not replace merchants for product quality liability.

4. User Conduct

You agree not to:

(1) Violate laws of Hong Kong or your resident jurisdiction;

(2) Upload infringing, obscene, violent, false or unlawful content;

(3) Crawl, attack or disrupt the Platform servers;

(4) Place fake orders, apply for malicious refunds or extort merchants;

(5) Infringe intellectual property, trademark, image and other third-party rights.

Upon violation, we may restrict account access, cancel orders, suspend or terminate your account and reserve rights to claim damages.

5. Intellectual Property

All website source code, logos, texts and interface designs of the Platform belong to HANDSTAND PANDA CO., LIMITED.. No copying, republication or commercial use is permitted without our prior written consent. Product images, trademarks and descriptions posted by merchants belong to merchants or respective rights holders.

6. Disclaimer

6.1 The Platform provides services on an "as-is" basis. We do not warrant uninterrupted or error-free operation. To the maximum extent permitted by law, we shall not be liable for indirect losses caused by network failure, cyberattack, server maintenance, cross-border delivery delay or customs inspection.

6.2 We do not provide guarantee for product quality, delivery or after-sales performance of third-party merchants. Disputes between users and merchants shall first be resolved by negotiation.

7. Amendment

We may revise these Terms at any time. Revised terms take effect upon publication on the Platform. Your continued use after publication means acceptance of updated version. Material changes will be notified via in-platform messages.

8. Governing Law & Dispute Resolution

8.1 These Terms shall be governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict of law rules.

8.2 Any dispute arising out of these Terms or use of Platform services shall first be settled amicably. If negotiation fails, disputes shall be submitted to the competent courts of Hong Kong.
